Scope of Services

Torgenpay provides digital payment infrastructure for businesses to accept payments through:

• UPI
• Net Banking
• Digital Wallets

Core Features Include:

• API and plugin integrations for websites, applications, and POS systems
• We offer Payment Links, Instant Settlement, Smart Collect, Current Accounts, API Banking, and Escrow Services, along with tailored solutions for gaming, e-commerce, fintech, and digital products
• Real-time transaction tracking and settlements to verified bank accounts

We may add, modify, or discontinue any part of our Services at our discretion without prior notice.

User Responsibilities

• Provide accurate, current business, financial, and contact information
• Use Services solely for lawful and legitimate purposes
• Maintain confidentiality of account credentials, API keys, and access permissions
• Notify us immediately of unauthorized use, suspected fraud, or security breaches

Fees and Settlements

• Service charges are outlined in your Merchant Agreement or displayed on the Dashboard
• All fees are exclusive of applicable taxes, which remain the user’s responsibility
• Chargebacks are the merchant’s responsibility; refunds are handled according to internal policies
• Fee structure updates will be communicated via email or dashboard notifications

Restricted Activities

• Illegal, unauthorized, or fraudulent transactions
• Trade of restricted goods or services (narcotics, gambling, adult content, firearms, counterfeit products, etc.)
• Attempts to hack, manipulate, or compromise platform security

Consequences of Violation:

• Temporary or permanent account suspension
• Withholding of funds pending investigation
• Legal action under applicable laws

Fraud Prevention and Risk Management

• Real-time monitoring of all payment activities
• AI-driven fraud detection, scoring, and risk assessment

If suspicious activity is detected:

• Transactions may be delayed, withheld, or reversed
• Accounts may be suspended or permanently closed

Users remain responsible for penalties, losses, and chargebacks.

Privacy and Data Protection

We protect personal and financial data per our Privacy Policy and applicable laws.

Security Measures:

• Data encryption and secure authentication
• Restricted access to authorized personnel

Data Usage:

• Processing transactions
• Fraud detection and compliance
• Platform maintenance and optimization

Intellectual Property Rights

• All IP (software, logos, trademarks, designs, documentation) is owned by TORGEN INNOVATIONS SOLUTIONS PRIVATE LIMITED or its licensors
• Users receive a limited, non-transferable license for legitimate business use
• Copying, modifying, reverse-engineering, sublicensing, or exploiting platform components is prohibited
• Use of branding or trademarks requires prior written authorization

Third-Party Integrations

• Our Services may integrate with banks, payment networks, CRMs, analytics tools, or logistics partners
• We are not responsible for third-party performance, policies, or reliability
• Any disputes or losses from third-party usage are governed by their own terms

Suspension and Termination

Accounts may be suspended or terminated for:

• Breach of Terms
• Involvement in illegal, fraudulent, or unauthorized transactions
• Compliance with legal, regulatory, or court orders

Consequences:

• Temporary or permanent deactivation of the account
• Withholding of funds until resolution
• Obligation to clear any outstanding dues

Dispute Resolution

• Internal support team will first handle disputes
• Payment issues, including chargebacks, will be coordinated with banks or payment networks
• Unresolved disputes will proceed under applicable laws and jurisdiction

Limitation of Liability

To the extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Loss of revenue, profit, data, or business opportunities is excluded
• No guarantee of uninterrupted or error-free Services

Indemnification

You agree to indemnify and hold TORGEN INNOVATIONS SOLUTIONS PRIVATE LIMITED, its directors, employees, and affiliates harmless from:

• Misuse of Services
• Breach of Terms
• Fraudulent, illegal, or negligent actions

Governing Law and Jurisdiction

• These Terms are governed by Indian law
• All disputes fall under the exclusive jurisdiction of Indian courts

Force Majeure

We are not liable for delays or failures caused by:

• Natural disasters
• Epidemics or pandemics
• Terrorist acts or wars
• Cyberattacks or technical disruptions
• Labor strikes, government restrictions, or civil unrest

Amendments to Terms

• Terms may be updated or revised at any time
• Updates will display a “Last Updated” date
• Continued use constitutes acceptance of revised Terms
• Users should review Terms periodically

Severability and Waiver

• If any provision is invalid or unenforceable, remaining Terms remain in effect
• Failure to enforce a provision does not waive the right to enforce it in the future
